This is a legal agreement. Please read these terms and conditions carefully before providing veterinary services under the Humane Society International (HSI) Vets for Pets Ukraine Scheme and before submitting a payment request for services provided under the Scheme.
By submitting an application for payment under the HSI Vets for Pets Ukraine Scheme you are accepting and agreeing to be legally bound by to these Terms and Conditions.
Representations, Warranties and Covenants
The veterinarian and/or veterinarian clinic, as applicable, represents, warrants and covenants that:
- The veterinary services were performed with all due care, diligence and efficiency, in accordance with the highest standards of professional competence and skill.
- Each veterinarian and veterinarian assistant performing the veterinary services possesses all required licenses and permits necessary for the performance of the veterinary services.
- It abides by, and took all measures necessary to enable it to be in compliance with all laws and regulations applicable to the veterinary services, including without limitation GDPR and all applicable data protection laws and regulations.
- It does not deal with any individuals, entities, or groups subject to subject to European Union or United Nations or US Office of Foreign Asset Control sanctions or any other persons known to such party to support terrorism or to have violated any such sanctions or any similar publicly-disclosed terrorist or terrorism-related sanctions.
Payment
Subject to the veterinarian’s compliance with these Terms and Conditions, during the period from 25 March 2022 through 31 December 2024, HSI will pay to the veterinarian for the provision of veterinary care to companion animals of Ukrainian refugees an amount not to exceed Two Hundred Fifty Euro (€ 250) per pet for maximum of five (5) pets per veterinarian. In order to qualify for payment, the veterinary care provide must be for the following purposes: legalization (where not covered by national or other authorities), preventive care, short term medications or acute care with a good prognosis. Ongoing care and associated costs are not eligible for payment. Veterinarians shall otherwise bear their own costs for providing the veterinarian care and all the necessary personnel, equipment, material and supplies necessary for the performance of the veterinary services. Veterinarians shall also not charge any money to the refugees.
HSI may withhold payment in respect of any invoice in the event that, in the opinion of HSI, the veterinarian is in breach of any material term of this agreement, or if the veterinarian has not provided sufficient documentation in support of the invoice.
Veterinarians shall not, in any event whatsoever, submit to or share with HSI in any invoices or other information any personal data (as such term is defined in the general data protection regulation (EU) 2016/679 (GDP)) relating to any owners or guardians of any pets or any other individuals (other than veterinarian or persons or entities veterinarian has recourse to in carrying out the veterinary services). where such personal data is contained in any invoice or other information shared with HSI, veterinarians shall ensure that such personal data is fully redacted.
Except with respect to the payments specifically set out in this clause and subject to the limitation set forth herein, HSI shall not have any obligation or liability whatsoever to the veterinarian for any other costs or expenses unless HSI, in its sole and absolute discretion, has provided specific prior written approval to cover any additional costs relating to provision of veterinarian care to pets of Ukrainian refugees.
All payments to the veterinarian shall be made by electronic funds transfer to the bank account specified in the invoice. HSI shall not be liable for any fees or charges imposed by the receiving bank, which shall be borne by the veterinarian.
The veterinarian shall have sole responsibility for: (i) the payment of any applicable taxes relating to any payments by HSI to the veterinarian and (ii) the filing of any required tax and related returns or filings or other information related thereto with the relevant tax authorities. If any tax must be paid by HSI on account of any payment hereunder, the amount of any such tax shall be deducted from the amount payable by HSI to the veterinarian, and the veterinarian. HSI shall have no liability to the veterinarian with respect to any such deducted amount and HSI’s payment to the veterinarian of the balance shall be considered payment in full.
The veterinarian appoints Valassis of Weldon House, Corby Gate Business Park, Corby, Northants NN17 5JG (“Valassis”) as its agent for the purposes of facilitating the payment from HSI to the veterinarian. As part of this, Valassis may collect money due to the veterinarian from HSI on their behalf and transfer it to the veterinarian. HSI will share the veterinarian’s personal data with Valassis for purposes of carrying out the processing of payments to the veterinarian.
Use of HSI Logo / Emblems
Any materials produced or developed by the veterinarian that reference or quote HSI also must be reviewed by and coordinated with HSI, with the final version approved in writing by HSI prior to release or publication. The veterinarian shall not be entitled to use the name, logo or other identifying mark of HSI or any of its affiliates, without the HSI’s prior written consent to each such usage.
Relationship of the Parties; Liability
HSI and veterinarian are independent parties. This agreement shall not create any partnership or joint venture between HSI and veterinarian, nor any relationship of principal and agent, or employer and employee, nor authorize any party to make or enter into any contract or commitments for or on behalf of the other party or to represent the other party in any capacity.
The veterinarian does not, and shall not, serve as a spokesperson for HSI in the media, with government officials, other organizations or otherwise.
HSI shall in no event whatsoever be liable for the consequences of any error or omission on the part of the veterinarian or any of its employees, agents, affiliates, contractors, subcontractors or other persons deriving authority from the veterinarian or for any damage caused by negligence on the part of the veterinarian in carrying out veterinary services.
No Assignment
Veterinarian may not assign or transfer any of its rights or obligations under HSI Vets for Pets Ukraine Scheme, in whole or in part.
Data Protection
Veterinarians shall not, in any event whatsoever, share with HSI any personal data (as such term is defined in the general data protection regulation (EU) 2016/679 (GDPR) relating to any owners or guardians of any pets or any other individuals (other than veterinarian or persons or entities veterinarian has recourse to in carrying out the veterinary services), and no invoices, reports or other information submitted or shared by the veterinarian to HSI shall contain any such personal data.
HSI will hold and process, both electronically and manually, personal data or personal information relating to veterinarian, as well as any person or entity veterinarian has recourse to in carrying out the veterinary services, as necessary for the performance of the present agreement and for other lawful processing reasons. This personal data or personal information includes, without limitation, image/photograph, name, email address, telephone number, physical address, tax and identification numbers, bank details, expenses information, fee details, veterinary licensing details and other records.
The veterinarian’s personal data or personal information will be stored for the duration of the present agreement and after for the time necessary to comply with HSI’s data retention policies and to meet HSI’s legal responsibilities. HSI may make the veterinarian’s personal data available to third parties to process personal data on our behalf for the purposes set out above, but we shall only do so where we have taken reasonable steps to ensure that such data is processed securely, as well as to HSI’s affiliates, regulatory authorities or as may otherwise be required by law. For the purposes above, HSI may transfer some or all of the personal data or personal information to countries outside of the EEA, including to the United States. Countries outside of the EEA may not have data protection laws as comprehensive as those existing in the EEA. By providing veterinary services under the HSI Vets for Pets Ukraine Scheme and entering into the present agreement, veterinarian is deemed to have been notified about the purposes for and the manner in which HSI will use the veterinarian’s personal data and personal data of persons or entities veterinarian has recourse to in carrying out the veterinary services.
